AGREEMENT FOR PROVIDING COURIER SERVICES

This Agreement made and entered into at Kolkata, on __/__/2022

By and between

UNI ENTERPRISES, a Partnership Firm having its registered office address at 8/10, Bijoygarh Jadavpur, Kolkata-700032, West Bengal India (hereinafter referred to as “UnI”which term shall, unless repugnant to the subject or context, be deemed to include its/their heirs, legal representatives, administrators, assigns, successors and permitted assigns) on the ONE PART;

AND________________________________________________________________a Company/ Partnership firm/ sole proprietor firm having its registered office/ permanent address at_____________________________________ ________________________________________________________________________________________India

(hereinafter referred to as “SERVICE RECEIVER” which term shall, unless repugnant to the subject or context, be deemed to include its/their heirs, legal representatives, administrators, assigns, successors and permitted assigns) on the OTHER PART;

Whereas SERVICE RECEIVER is engaged in the business activity of reseller of

__________________________ ________________________ via online portal/ platform or as e-commerce.

Whereas SERVICE RECEIVER search for a suitable Courier Service Provider for Shipping Product to the Customer and UNI approach to the SERVICE RECEIVER to Start Business with the following Terms & Condition.

NOW, THEREFORE, IN CONSIDERATION OF THE TERMS, CONDITIONS AND

COVENANTS HEREINAFTER CONTAINED, THE PARTIES HERETO, HEREBY

AGREE AS FOLLOWS:

1.	UNI hereby agrees to provide to SERVICE RECEIVER and SERVICE RECEIVER hereby agrees to avail Courier services from UNI
2.	Service Available in the Serviceable PIN Code only, UNI is not responsible to provide service in non-serviceable Area
3.	TENURE OF THE AGREEMENT: This agreement is valid for 1 year from the date of execution of this agreement and UNI reserves the right to extend the period of this Agreement for a further period of 2 years by serving a letter in writing to the Service Receiver on the same terms and conditions (Except Rate/ Charges) of this Agreement
4.	Neither party shall be liable for any special or consequential loss suffered by the other party (including but not limited to loss of profit or loss of opportunity) arising from any breach of the other party and/or negligence of the other party
5.	Limitation of Liability & Insurance: A) UNI’s maximum liability for the loss, theft or misappropriation of any Shipment during the transit period shall be limited the actual aggregate value of the product, which is pre declared by the Service Receiver at the time of Booking B) The terms and condition of the engaged courier and cargo company will be considered and this agreement also cover the same C) If any issue regarding Fake delivery update or wrong product delivery arises, then service receiver has to inform within 7 days from the date of delivery.
6.	The SERVICE RECEIVER agrees not to book any kind of following items: Currency, Indian Postal Articles, Liquids & Semi-liquids, Philately Items, Pornography, Bullion, Drugs and Narcotics (Illegal), Firearms parts thereof and ammunition, Precious & Semi-Precious Items, Radioactive Material, Commodities banned by Law at any given time without prior notice, All IATA Restricted Items and Dangerous goods. In case of booking of any Restricted item the UnI has right to Impose a Penalty of Rs 10,000/- or actual penalty amount imposed by Delivery Partner which is higher
7.	All Supporting documents / necessary paper works are required to be furnished as and when required. The SERVICE RECEIVER should provide authentic documents required for smooth movements of the consignment through check posts.
8.	This agreement is an exclusive basis and Service RECEIVER does not have any right to provide the business to any other service provider.

CONFIDENTIALITY: Service Receiver agrees that all information, whether written or oral, including but not limited to know-how, standards, instructions, procedures, notes or methods of business or such confidential or proprietary information which UNI may disclose to Service Receiver pursuant to the terms of this Agreement, shall be received and held by them on a strictly confidential basis and shall be used solely for the purposes of this Agreement and except as provided in this Agreement, may not be disclosed to any person or business entity whatsoever

TERMINATION: If there is breach of contract from any part of this agreement, then the other part has the right to terminate the agreement.

RATE & CHARGES: The Rate & Charges and payment terms & separately attached in Schedule-I

If the Service Receiver fails to provide monthly Business of Rs _________________________/- Then “UNI” has right to change the rate mentioned in Schedule-I, which will not be more than the basic tariff.

DEFINITION :

**COD: Cash on Delivery

** DTO: Deliver to Origin, in the case that the Customer wants to Return the product back.

**RTO: Return to Origin, in the case that the customer is not available to receive , it is returned

** EDD: Expected Delivery time in Days

** SPL Zone: North East, HP, J&K, Andaman, Port Blair

Others Notes:

1. COD Charges : Rs 60/- or 2% of COD Amount Whichever is higher

2. RTO Charges: We do not Charged any RTO Charges on "PREPAID" Shipment in case of COD Shipment RTO Charges same as Forward Charges.

3. Weight Measurement: Deed Weight & Volumetric Weight, Whichever is higher

4. Volumetric Formulae: LxBxH / 4500 (In cms)

5. Fuel Surcharge (FSC): We do not Charged any FSC for domestic shipment

6. GST & TAX: The Above Rates are Inclusive of GST @18%

7. EDD maybe Vary as per the Company policy

8. This Rate is applicable for minimum of _______________ Shipment in a month.

9. Payment Terms: Bill will be generated on monthly basis and payment to be made within 10days from date of billing
